By electronically submitting an order via an
approved CCN Pro web site, I hereby make application to become an
Independent Member (Member) of CCN Pro Nutritionals (CCN Pro), and I
hereby state that I understand and agree to the following:
- I am of legal age in
the state of my residency. I reside in the United States. Upon
acceptance of this Application by CCN Pro, I am eligible to participate
in the marketing, selling and distribution of CCN Pro products and
services. I may receive commissions and overrides on sales according to
these Terms and Conditions and the Compensation Plan of CCN Pro. CCN
Pro reserves the right to approve or disapprove any Application at CCN
Pro's sole discretion. An individual or business entity may apply
for membership, however only one membership is permitted per individual
or business entity. This Agreement shall be deemed accepted by
CCN Pro upon the shipment of the first order placed by the Member.
- Upon approval and acceptance of this Application by
CCN Pro, I will become an Independent Contractor, solely responsible
for my own business and not an employee, franchisee, nor agent of CCN
Pro. As an Independent Contractor, I agree I will not be regarded as an
employee for the purposes of the Federal Insurance Contributions Act,
Federal Unemployment Tax, The Social Security Act, income tax
withholding, federal or state income taxes, or any other laws covering
employees. I agree it is my responsibility to pay any self-employment
tax and all local, state and federal taxes or license fees, including
sales taxes, as required by law. CCN Pro will provide Members with a
1099 form for tax purposes as required by the IRS. As required by the
IRS, CCN Pro must withhold and submit to the IRS the then current
percentage of commissions payable if CCN Pro does not have a valid
social security number or tax identification number from Member.
- I acknowledge that I have read the Terms and
Conditions and the Compensation Plan of CCN Pro and understand that
they may be amended and updated by CCN Pro from time to time at its
sole discretion. CCN Pro reserves the right to compensate certain
members over and beyond CCN Pro's published compensation plan. I
agree to abide by the Terms and Conditions, policies and procedures and
to use my best efforts in the marketing of CCN Pro products and
services. Any oral representation made by anyone to induce any person
to become a Member, which is contrary to policy, is expressly disavowed
by CCN Pro and not to be relied upon by any Member. Any violation of
the terms and conditions of this Agreement as amended or revised from
time to time, shall be deemed to be a default under this Agreement and
cause for immediate termination.
- There are no exclusive territories within the United
States of America. Federal, state and municipal regulatory agencies do
not approve nor endorse direct selling programs. Members may not
represent that any of CCN Pro program has been approved or endorsed by
any governmental agency.
- The CCN Pro program is based upon sales of products
to the ultimate consumer. CCN Pro recognizes that Members may purchase
products for personal consumption and recognizes such sales as sales
for end-user consumption. Members are prohibited from purchasing
products in unreasonable amounts solely for the purpose of qualifying
for bonuses. The Compensation Plan is based upon consumer sales. It is
not the intention of CCN Pro that products be stockpiled. With each
order placed, a Member certifies that he\she has sold or used for
personal consumption at least seventy percent of previous orders.
Members are not required to carry a specific inventory. It is up to the
Member's desecration to stock enough product to service their business
needs based upon actual and projected sales to end consumers. All forms
of front-end loading or stocking products are discouraged. I understand
that CCN Pro may verify sales through any method it deems appropriate.
Members must keep and retain complete receipts of sales and provide
them to CCN Pro upon request.
- CCN Pro has 100% money-back guarantee policy for
all retail customers. The Member agrees to refund the product purchase
price to an unsatisfied customer. CCN Pro will promptly replace any
product to the Member upon receipt of returned product including said
customer's name, address and telephone number.
- I understand that CCN Pro products are not
represented as having any medicinal value and I am not authorized to
make any diagnosis of any medical condition, make drug-type claims for
or prescribe CCN Pro products to treat or cure any disease or condition
of a person.
- I agree to indemnify and hold harmless CCN Pro (and
is officers, executive distributors, employees and agents) against any
claims, liability, obligations, expenses (including attorney's fees) or
damages arising out of any representation made by me in connection with
any CCN Pro services.
- CCN Pro may terminate a Member at any time if
the Member breaches this Agreement or engages in any conduct that may
bring disrepute upon CCN Pro or which is in violation of any law or
government regulation or ordinance.
- A Member is entitled to cancel this Agreement at any
time on an approved CCN Pro web site or upon written notification
to cancel submitted by certified mail to the Company's office address.
Products may be returned for credit within 30 days of the original
invoice date if the products are unopened and in resalable condition.
Products returned will be refunded less a 20% restocking fee and less
commissions earned by Members on the products returned. Shipping and
handling fees are not refundable. Any order that is returned for credit
automatically cancels your CCN Pro membership and you
will not be eligible for membership again for 90 days. The 30 day
return period is extended in those states where a longer period is
required. Orders that are not accepted by the member and marked
"Refused or Return To Sender" will not be subject to refund. All
returns must be accompanied by instructions as to the nature of the
return and if a refund or exchange is requested.
- I will not make any false or misleading statements or
income projections to prospective or existing Members about CCN Pro or
its compensation Plan. Network marketing distributors occasionally
represent hypothetical future income as actual income projections based
upon the inherent power of network marketing. This is strictly
prohibited.
- I will not make any unauthorized use of trade names
or trademarks by CCN Pro. I agree not to repackage or relabel CCN Pro
products, nor sell said products under any other name or label. I will
not make any guarantees, claims or representations in promoting CCN Pro
products or services other than those contained in approved CCN Pro web
sites or literature. I understand and agree that I will not create,
produce or distribute my own marketing literature or materials
including web sites without CCN Pros written approval.
- I understand that there is no minimum purchase
requirement to maintain my distributorship. However, I must have a
minimum personal purchase as defined by the current compensation plan
in order to qualify to receive commissions for that month. Orders for
any calendar month must be received by CCN Pro's order department or
successfully submitted on an approved web site by midnight of the last
day of the month to qualify. All online applications and orders must be
completed properly. CCN Pro is not responsible for loss of commission
payments or delays in Member enrollment or processing of orders due to
errors by Member in submitting orders or applications.
- If for any reason I do not have at least the minimum
amount of personal volume as set forth in the then current CCN Pro
compensation plan, I forfeit any fast start or downline commissions
that I may have earned that month. If I fail to maintain at least the
minimum personal volume for three (3) consecutive months, I will be
placed on inactive status. I also understand I can become active again
if I reach the minimum personal volume during a month. However, I agree
that any downline members I had while previously active will be
forfeited and they will roll up to the next active member.
- I understand that a service and handling fee of up to
five dollars ($5.00) will be deducted from my monthly commission check.
- I understand that if my monthly commissions for any
given month are below $25.00, my commissions for that month will be
applied as a credit against my next order.
- Changing sponsors is not allowed except in the rare
event of Members using unethical means and methods, or by obtaining six
immediate upline Members' notarized signatures. If the number of upline
members is less than six, then all upline signatures are required.
- Any member who sponsors other Members into the
Compensation Plan must fulfill the obligation of performing bona fide
supervisory, training and selling functions in the marketing of CCN Pro
products and services and program benefits. Any Member who sponsors
other Members is expected to supervise, train and maintain ongoing
contact and communication with his/her sales organization. Examples of
supervision may include, but are not limited to: telephone contact,
written correspondence, personal meeting, voice mail, email,
newsletter, and training meetings.
- I understand that my Membership can be inherited or
bequeathed, but cannot be transferred or assigned during my lifetime
without CCN Pro's consent, which consent will not be unreasonably
withheld.
- This Agreement shall be governed by and construed in
accordance with the laws of the State of Alabama applicable there to.
Any litigation or arbitration arising under the Agreement shall have
Madison County, Alabama as its place of venue. Each party shall be
responsible for its own attorney's fees and court costs.
- All web site design, text, graphics, and all software
are a Copyright of CCN Pro, All Rights Reserved. Any use of materials
on this web site including reproduction, distribution, or republication
without prior written consent from CCN Pro is strictly prohibited. CCN
Pro, www.CCN Prosystems.com, www.CCN Pronutritionals.com, the CCN Pro
logo, all page headers, custom graphics and button icons are service
marks, trademarks, and/or trade dress of CCN Pro. All other trademarks,

- A $5 service fee will be added in the event that a
credit card is declined and a $25 service fee will be added in the
event of a returned check for any reason. Additional attempts will be
made to charge your credit card or draft your checking account with the
service fees added. CCN Pro is not responsible for commission loss due
to a declined credit card or returned check.
- CCN Pro Systems is an Internet based Marketing
System designed exclusively for CCN Pro Nutritionals. CCN Pro Systems
is owned and operated by CCN Pro Nutritionals. The use of CCN Pro
Systems is entirely optional. Use of the CCN Pro Systems marketing
system or information contained within the CCN Pro Systems web site
does not represent or imply any particular results or income level.
Your results will vary greatly and will depend on your commitment,
effort and ability to build a productive downline organization.
CCN Pro Monthly
Product Auto Plan Policies and Procedures
- CCN Pro will
process your Auto-Ship order each month on the day of the month that
you originally joined. The date that you joined is located in the My
Account area of the web site. If your processing day for a given month
falls on a day that does not exist for that month, the processing day
for that month will be the last calender day for that particular month.
Any applicable sales tax will be added.
- A $5 service fee will be added in the event that a
credit card is declined for any reason. Additional attempts will be
made to charge your credit card with the service fees added.
- You can change your Monthly Auto Plan at any time on
the web site.All changes to your Auto Plan order must be made PRIOR
to the day of the month that your Auto-Ship order is scheduled to be
processed.
- You can cancel your Auto Plan at any time on the web
site. Cancellations must be made PRIOR to the day of the month that
your Auto-Ship order is scheduled to be processed.
- CCN Pro maintains a date and time stamped log of
all changes and cancellations made on the web site. Any changes or
cancellations made on the web site will be reflected immediately on the
web site. It is the member's responsibility to verify that ANY
cancellations or changes to your Auto Plan order were made correctly.
- You may return any product within 30 days for
exchange for another product of the same or lower price. The products
must be unopened and in resalable condition. Please include $8.00 for
shipping and handling for each exchange. If the shipping fee is not
included with the return, CCN Pro will charge $8.00 to your credit card
or checking account on file.
- If you return an order for credit, it must be
received by CCN Pro within 30 days of the original invoice date and the
products must be unopened and in resalable condition. Products returned
will be refunded less a 20% restocking fee and less commissions earned
by Members on the products returned. Shipping and handling fees are not
refundable. Other than exchanges, any order that is returned
automatically cancels your CCN Pro membership and you will lose any
downline that you may have.
- ANY product order that is not accepted by
the member and marked "Refused, Unclaimed or Return To Sender" will not
be subject to refund. All returns must be accompanied by
instructions as to the nature of the return and if a refund or exchange
is requested.

Order & Auto-Ship Policies and Procedures
- Your CCN Pro Systems
Monthly Auto-Ship orders will be processed together and on the same
date with your CCN Pro Product order as discussed above.
- All CCN Pro Systems purchases will be billed through
CCN Pro Nutritionals and will appear on your credit card statement as
CCN Pro Nutritionals purchases.
- You can change your Monthly Auto Plan at any
time on the web site.All changes to your Auto Plan order must be
made PRIOR to the day of the month that your Auto-Ship order is
scheduled to be processed.
- You can cancel your Auto Plan at any time on the web
site. Cancellations must be made PRIOR to the day of the month that
your Auto-Ship order is scheduled to be processed.
- CCN Pro Systems maintains a date and time
stamped log of all changes and cancellations made on the web site. Any
changes or cancellations made on the web site will be reflected
immediately on the web site. It is the member's responsibility to
verify that ANY cancellations or changes to your Auto Plan

- Once a members credit card has been approved for any
CCN Pro Marketing Systems order including your initial order,
the order is non refundable. No refunds or
exchanges are available for CCN Pro Systems web fees, postcards and
coops after an order or auto-ship order has been processed.
